1. Scope and Acceptance
These Terms govern access to and use of velazo-b2b.com and the purchase of products via the platform. By creating an account, placing an order, or using the site, you accept these Terms.
2. B2B-Only Eligibility
The platform is exclusively for business customers. By registering, you confirm authority to act for a business entity. EU consumer protection rules, including the 14-day right of withdrawal, do not apply.
3. Accounts
Registration is required to place orders. You must provide accurate business information (company name, VAT number, billing/shipping details).
You are responsible for safeguarding credentials and for activities under your account.
We may suspend or terminate accounts for breach, fraud, or security reasons.
4. Products, Prices, and VAT
Product descriptions, availability, and pricing are shown on the site.
Prices are typically exclusive of VAT unless stated otherwise. Applicable VAT and delivery charges are shown at checkout.
We may correct obvious errors (typographical/technical) before acceptance.
5. Orders and Contract Formation
Your order is an offer to buy. A binding contract is formed when we confirm acceptance (e.g., order confirmation or dispatch notice).
We may refuse, cancel, or limit orders (e.g., suspected fraud, stock unavailability, pricing mistake).
6. Payments
Payment methods: Stripe and PayPal (subject to their terms).
Title to goods passes upon full payment; risk passes on delivery to the carrier/customer per agreed Incoterms if applicable.
7. Delivery
Delivery terms, timelines, and charges appear at checkout or in order confirmation.
Delays caused by carriers, customs, or events beyond our control do not create liability for consequential loss.
8. Returns, Refunds, and RMA (B2B Policy)
All sales are final. No general right of return or withdrawal applies.
Returns are accepted only for (i) defective goods or (ii) wrong items/quantities supplied, subject to prior written approval (RMA) requested within 7 days of delivery with evidence (photos, serials, packaging).
Upon approval:
If our fault: we cover return shipping or provide a prepaid label and arrange replacement/refund.
If buyer fault (e.g., wrong order): return (if approved) is at buyer’s cost; a reasonable restocking fee may apply; goods must be unused, in original packaging, and resalable.
Non-returnable: customized, used, damaged by improper installation, or items lacking original packaging/accessories.
9. Inspections and Claims
You must inspect goods upon receipt. Transport damages must be noted with the carrier and reported to us promptly (and in any case within the 7-day window).
10. Warranties and Remedies
Unless a written product warranty is provided, statutory B2B remedies apply. Our liability for confirmed defects is limited to repair, replacement, or refund of the affected items at our discretion.
11. Limitation of Liability
To the maximum extent permitted by law, we exclude liability for indirect, incidental, or consequential damages, loss of profit, or business interruption. Our aggregate liability relating to an order will not exceed the order value, except for liability that cannot be limited by law.
12. Intellectual Property
All site content (texts, images, designs, trademarks, logos, software) is our or our licensors’ property and may not be used without prior written permission.
13. Compliance and Prohibited Use
You agree not to misuse the platform (e.g., interfere with security, reverse engineer, data mine outside permitted purposes) and to comply with export controls/sanctions where applicable.
14. Privacy & Cookies
Processing of personal data is governed by our Privacy Policy. By using the platform, you acknowledge our use of cookies per that Policy and your chosen preferences.
15. Force Majeure
We are not liable for delays or non-performance caused by events beyond our reasonable control (e.g., natural disasters, strikes, outages, regulatory actions).
16. Governing Law and Jurisdiction
These Terms are governed by the laws of Poland and applicable EU law. Disputes are subject to the exclusive jurisdiction of competent courts in Poland.
